Baan Ganga Job: Company Secretary in Mumbai

We are seeking a qualified and detail-oriented Company Secretary (CS) with 3+ years of post-qualification experience, including at least 1 year in a listed company (BSE/NSE). The ideal candidate will ensure full compliance with corporate governance, regulatory filings, and company law requirements.

1. Ensure compliance with Companies Act, SEBI, and other statutory regulations. 2. Manage ROC filings, board and general meetings, and maintain statutory registers. 3. Draft and review board resolutions, minutes, and legal documents. 4. Coordinate with auditors, regulators, and stakeholders on company matters. 5. Handle stock exchange compliance (BSE/NSE) and related disclosures. 6. Prepare and submit annual reports, returns, and secretarial audits. 7. Support management on corporate restructuring, mergers, and legal advisory. 8. Maintain confidentiality and uphold governance standards.

1. Qualified Company Secretary (ICSI). 2. Minimum 3 years post-qualification experience. 3. At least 1 year of experience in a listed company (BSE/NSE). 4. Strong knowledge of Company Law, SEBI Regulations, and Listing Obligations. 5. Excellent drafting, communication, and organizational skills. 6. Proficient in MS Office and e-filing portals (MCA, SEBI).

1. Graduate degree in Commerce, Law, or Business Administration. 2. ICSI Membership (mandatory).
